Dissident Automotive Terms & Conditions of sale

 

  1. Placing an order with Dissident Automotive ltd serves as acceptance of the following terms and conditions of sale.

 

Glossary Of Terms

 

  1. Customer – Means any purchaser from Dissident Automotive Ltd including but not restricted to a private individual, fitter / retailer, a business or any other 3rd party purchasing parts.

 

  1. Parts – Any parts or components sold and supplied by Dissident Automotive ltd

 

  1. Branded parts – Parts and Accessories supplied by Dissident Automotive Ltd that are branded Dissident Automotive Ltd

 

  1. Non Branded Parts – Parts and Accessories supplied by Dissident Automotive Ltd that carry no brand name or a non Dissident Automotive Ltd brand name.

 

Delivery Dates

 

  1. Dissident Automotive and the customer agree between them that due to the handmade and sometimes bespoke manufacturing process, complexity and labour intensive nature of the components it supplies that any delivery dates given are estimates and not firm delivery dates. Should Dissident Automotive Ltd believe it is going to miss an estimated delivery date then it will use its best endeavours to update the customer with its best estimate of when the parts will be supplied.

 

  1. On stock component orders (non bespoke) that suffer a delay of greater than 8 weeks from the initial estimated delivery date then full cancellation of order will be allowed and any deposit payment refunds received can be made to the customer.

 

Deposits, Payments & Bespoke Orders

 

  1. Full payment for any parts supplied by Dissident Automotive LTD to the customer must be received prior to dispatch of goods. Placing an order is acceptance of the Dissident Automotive Ltd terms and conditions.
  2. No ownership of any goods will transfer until full payment for the parts is made to Dissident Automotive ltd.

 

  1. For bespoke orders a deposit of 75% will be required prior to commencement of manufacture. The final 25% payment must be completed prior to dispatch of the parts. This final payment of 25% must be paid with in 7 days of notification by Dissident Automotive Ltd to the customer of the parts being ready for dispatch. If payment of the full amount of the balance outstanding is not made within this time frame Dissident Automotive Ltd reserves the right to treat the order as cancelled. In this event Dissident Automotive Ltd reserves the right to keep the whole deposit price due to the bespoke nature of the order. It may also claim any additional reasonable losses suffered which may include but are not limited to clerical and administrative costs, design & manufacturing costs & stocking costs.

 

  1. In the event of a cancelled bespoke order Dissident Automotive ltd whilst not obliged to, will attempt to re-sell the parts. Should successful resale of the parts be achieved then any excess above the original order value prior to cancellation of the order will be paid back to the original customer less any reasonable sales and other expenses.

 

WARRANTIES / FAULTY PRODUCTS

 

  1. Dissident Automotive Ltd offers a 12 month warranty on any new Dissident Automotive Ltd Branded parts covering poor workmanship, faults and defects. This warranty applies to all parts fitted by Dissident Automotive Ltd or anyone within its approved professional fitting network and applies to the retro fitting of new parts to a vehicle or the supply of a whole vehicle by Dissident Automotive Ltd fitted with new branded Dissident Automotive Ltd parts.

 

  1. For any parts sold and/or fitted by Dissident Automotive Ltd that are non branded parts they will be subject to the relevant manufactures warranty and warranty process and not covered by Dissident Automotive Ltd warranty.

 

  1. Any customers opting for self fitment must be aware that any faults, issues or defects resulting to Dissident Automotive branded parts or non-branded parts due to poor fitting will not be covered by any warranty.

 

  1. For any whole used vehicles sold by Dissident Automotive Ltd that are fitted with new Dissident Automotive Ltd branded parts these will be covered by a 12 month warranty covering poor workmanship, faults and defects from the point of sale. If the vehicle remains within its original OEM manufacturers warranty it will be sold with the balance of this warranty in relation to the OEM’s parts. Any warranty issues relating to the OEM parts must be managed by the customer directly with the manufacturer. Dissident Automotive Ltd has no control over OEM warranty process and as such any claims with the OEM manufacturer are at their sole discretion. Dissident Automotive carries no liability in relation to any OEM manufacturers warranty.

 

  1. For any whole used vehicles sold by Dissident Automotive Ltd that are fitted with used Dissident Automotive Ltd branded parts these will be covered by a 3 month warranty covering poor workmanship, faults and defects from the point of sale. If the vehicle remains within its original OEM manufacturers warranty it will be sold with the balance of this warranty in relation to the OEM’s parts. Any warranty issues relating to the OEM parts must be managed by the customer directly with the manufacturer. Dissident Automotive Ltd has no control over OEM warranty process and as such any claims with the OEM manufacturer are at their sole discretion. Dissident Automotive carries no liability in relation to any OEM manufacturers warranty.

 

  1. Any warranty claim by the customer based upon defects in the quality, poor workmanship or faults shall be notified to Dissident Automotive Ltd within a 14 day period from delivery, or where the defects were not apparent on a reasonable inspection, within a 7 day period from discovery of the defects.

 

  1. Any damage caused during delivery shipment by any delivery company / handler must be notified to the shipper by rejecting the package or signing any delivery paperwork noting the damage. Dissident Automotive should also be advised within 48 hours of the delivery. Dissident Automotive LTD cannot consider supporting any claim for damage to parts without this trail of documentation.

 

  1. With the above process followed any damaged parts should be returned to Dissident Automotive Ltd for full inspection. No replacement parts will be issued until Dissident Automotive LTD has received the damaged parts back for assessment and received copies of the rejection notices / damaged on delivery documentation lodged with the shipper.

 

  1. In the event of a replacement being requested due to a manufacturing default, no replacement parts will be issued until the original defective part has been returned to Dissident Automotive Ltd for assessment.

 

 

 

Warranty Exclusions & Fair Usage

 

  1. Dissident Automotive Ltd warranty is not transferable.

 

  1. Our warranty covers Dissident Automotive Ltd parts for their designed application of lawful road use. Use outside of this environment and parameters stemming to damage or failure will not be warranted.

 

  1. Normal wear and tear, use of improper cleaning materials including but not limited aggressive acids and traffic film removers (TFR) and damage resulting from neglect will also invalidate the 12 month Dissident Automotive Ltd warranty on new branded parts or 3 month warranty on used parts.

 

  1. The parts supplied by Dissident Automotive LTD are aftermarket modifications that are in addition to manufacturers specifications and are not approved and endorsed by the original manufacture of the vehicle. It is possible that a main dealer for the OEM vehicle supplier may not wish to honour certain OEM warranty elements of the vehicle should they deem that Dissident Automotive Ltd parts that have been fitted are the cause of a vehicle fault that is now being claimed under warranty with the OEM.

 

  1. Dissident Automotive ltd accepts no liability for for any product failure of parts supplied or any

 

Liability & Indemnity

 

  1. Our liability and indemnity under these Terms and Conditions, and in breach of statutory duty, and in tort or misrepresentation or otherwise, shall be limited as set out in this section.

 

  1. The total amount of our liability is limited to the total amount of Fees payable by the customer in relation to the relevant order.

 

  1. We are not liable (whether caused by our employees, agents or otherwise) in connection with our provision of the products or services or the performance of any of our other obligations under these Terms and Conditions or the quotation for: a. any indirect, special or consequential loss, damage, costs, or expenses or;
  2. any loss of profits; loss of anticipated profits; loss of business; loss of data; loss of reputation or goodwill; business interruption; or, other third party claims; or
  3. any failure to perform any of our obligations if such delay or failure is due to any cause beyond our reasonable control; or
  4. any losses caused directly or indirectly by any failure or your breach in relation to your obligations; or
  5. any losses arising directly or indirectly from the choice of Services and how they will meet your requirements or your use of the Services or any goods supplied in connection with the Services.

 

  1. You must indemnify us against all damages, costs, claims and expenses suffered by us arising from any loss or damage to any equipment (including that belonging to third parties) caused by you or your agents or employees.

 

  1. Dissident Automotive ltd accepts no liability in anyway for any parts failure and any consequential injury or financial loss stemming to any party including 3rd parties and the customer from use outside of the parts designed parameter and application.

 

  1. Nothing in these Terms and Conditions shall limit or exclude our liability for death or personal injury caused by our negligence, or for any fraudulent misrepresentation, or for any other matters for which it would be unlawful to exclude or limit liability.

 

 

 

Returns Policy

 

  1. Products purchased directly from Dissident Automotive Ltd maybe returned based on shipping damage or manufacturing default directly to Dissident Automotive Ltd.

 

  1. Products purchased via our approved fitting and re-seller network must be returned based on shipping damage or manufacturing default via that re-seller / fitter channel.

 

  1. The parts supplied by Dissident Automotive LTD are aftermarket modifications that are in addition to manufacturers specifications and are not approved and endorsed by the original manufacture of the vehicle. It is possible that a main dealer for the OEM vehicle supplier may not wish to honour certain OEM warranty elements of the vehicle should they deem that Dissident Automotive Ltd parts that have been fitted are the cause of a vehicle fault that is now being claimed under warranty with the OEM.   1. No ownership of any parts will transfer to the customer until Dissident Automotive Ltd is in full receipt of cleared funds for entire order value.

 

Circumstances beyond a party’s control

 

  1. Neither Dissident Automotive ltd or the customer is liable for any failure or delay in performing our obligations where such failure or delay results from any cause that is beyond the reasonable control of that party. Such causes include, but are not limited to: industrial action, civil unrest, fire, flood, storms, earthquakes, acts of terrorism, acts of war, governmental action or any other event that is beyond the control of the party in question. If the delay continues for a period of 90 days, either of us may terminate or cancel the Services to be carried out under these Terms and Conditions.

 

Severance

 

  1. If one or more of these Terms and Conditions is found to be unlawful, invalid or otherwise unenforceable, that / those provisions will be deemed severed from the remainder of these Terms and Conditions (which will remain valid and enforceable).

 

Intellectual property

 

  1. We reserve all copyright and any other intellectual property rights in relation to all Dissident Automotive ltd branded products which may subsist in any goods supplied in connection with the provision of the Services. We reserve the right to take any appropriate action to restrain or prevent the infringement of such intellectual property rights.

 

  1. By agreeing to these terms and conditions the customer agrees in no way to replicate, copy, share or engage in the process of re-marketing or re-making any of these parts whatsoever.

 

Governing Law

 

  1. This Agreement shall be governed by and interpreted according to the law of England and Wales and all disputes arising under the Agreement (including non-contractual disputes or claims) shall be subject to the exclusive jurisdiction of the English and Welsh courts.
